These Terms and Conditions (“Terms”) govern your access to and use of the Look Who’s Outdoors platform (the “Platform”), including the Event Host Portal, the Sellers Portal, and the Users Portal. Please read these Terms carefully. By registering for or using any part of the Platform, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

• “Platform” means the Look Who’s Outdoors website, mobile applications, and related services provided by Look Who’s Outdoors, LLC (“LWO”).
• “Event Hosts” are users who create, manage, and promote outdoor events via the Event Host Portal.
• “Sellers” are users who list, advertise, and sell outdoor products via the Sellers Portal.
• “Users” are individuals who browse content, register for events, purchase products, or otherwise interact with the Platform without necessarily hosting events or selling products.

2. Acceptance of Terms

By accessing or using any part of the Platform, you:

1. Confirm you are at least 18 years old and have full legal capacity to enter into these Terms;
2. Agree to comply with all applicable federal, state, and local laws and regulations in the United States; and
3. Acknowledge that you have read and understood these Terms.

If you do not agree, do not access or use the Platform.

3. Eligibility and Account Registration

1. Eligibility: You must be 18 or older and competent to enter into legal agreements. Businesses must designate an authorized representative.
2. Account Security: You agree to provide accurate information during registration and maintain the confidentiality of your account credentials. You are responsible for all activities under your account.
3. Service Descriptions

4.1 Event Host Portal

• Event Creation: Event Hosts may create outdoor events free of charge.
• Boosting Events: To promote events more prominently, Event Hosts may pay a non-refundable fee of $6.99 per boost.
• Event Management: LWO provides tools for RSVPs, ticketing integration, messaging, and analytics.

4.2 Sellers Portal

• Product Listings: Sellers may list outdoor gear, apparel, and related products for sale.
• Advertising Packages: Sellers can purchase advertising packages at $25, $70, $150, or $250 to promote individual products or entire stores.
• Payment Processing: All transactions are processed via secure third-party payment processors. LWO does not store your payment card details.

4.3 Users Portal

• Browsing and Registration: Users may browse events, register or purchase tickets, and buy products.
• Reviews and Ratings: Users may leave feedback on events and products in compliance with our Community Guidelines.

5. Fees, Payments, and Refunds

1. Fees: All fees are listed in USD.
2. Payment: By purchasing a boost or advertising package, you authorize LWO to charge your selected payment method.
3. Refunds: Fees are non-refundable except as required by law.
4. Content Ownership and License

1. Your Content: You retain ownership of any content you post (event details, product images, descriptions, reviews).
2. License Grant: You grant LWO a worldwide, non-exclusive, royalty-free license to display, distribute, and promote your content on the Platform.
3. Prohibited Conduct

You agree not to:

• Post unlawful, harmful, or infringing content.
• Harass, defraud, or discriminate against any person.
• Circumvent our fee structures or system security.
• Use bots or automated scripts to access the Platform.

8. Safety and Liability Waiver

Participation in outdoor events and purchase of products carry inherent risks. By using the Platform, you acknowledge all activities are at your own risk. You release LWO from liability for injuries, losses, or damages arising from events or products.

9. Intellectual Property Rights

All trademarks, service marks, and logos of LWO are the property of Look Who’s Outdoors, LLC. You may not use LWO’s intellectual property without prior written consent.

10. DMCA Policy

LWO complies with the Digital Millennium Copyright Act. If you believe your copyrighted work has been infringed, please submit a notice to our designated Copyright Agent at support@lookwhosoutdoors.com.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” LWO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LWO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO LWO IN THE PRIOR SIX MONTHS.

13. Indemnification

You agree to indemnify, defend, and hold harmless LWO, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Platform or violation of these Terms.

14. Termination

LWO may suspend or terminate your account for violations of these Terms or inactivity. Upon termination, your right to use the Platform ceases, but Sections 5, 8–13, and 15–18 survive.

15. Dispute Resolution and Arbitration

Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association. You waive any right to participate in class actions.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

17. Changes to Terms

LWO may modify these Terms by posting updated Terms and updating the “Last Updated” date. Continued use of the Platform constitutes acceptance of the revised Terms.
